Xinyuan Real Estate Announces Related Party Transaction
 
Beijing, August 20, 2021.  On August 13, 2021, Xinyuan Science (an indirect wholly owned subsidiary of Xinyuan Property Management Service (Cayman) Ltd.) entered into a loan agreement (the “Loan Agreement”) with Henan Xinyuan Real Estate (a wholly owned subsidiary of Xinyuan Real Estate Holdings), pursuant to which, Xinyuan Science agreed to provide a loan up to RMB48 million (the “Loan”) to Henan Xinyuan Real Estate, and Xinyuan (China) agreed to provide an irrevocable and unconditional guarantee for the Loan.
 
Pursuant to the terms of the Loan Agreement, Henan Xinyuan Real Estate will use the loan for general corporate and supplementary liquidity purposes.  The loan has a two-year term and an 8% interest rate.  The loan is supported by a guarantee from Xinyuan (China), which is also a wholly-owned subsidiary of Xinyuan Real Estate Holdings.
