Xinyuan Real Estate Co., Ltd. Announces Issuance of US$200 Million of 13.25% Senior Notes Due 2018

BEIJING, May 3, 2013 /PRNewswire/ -- Xinyuan Real Estate Co., Ltd. ("Xinyuan" or "the Company") (NYSE: XIN), a residential real estate developer with a focus on high growth, strategic Tier II and III cities in China, today announced the closing of its offering of US$200 million in aggregate principal amount of 13.25% senior notes due 2018 (the "Notes"). The Notes are guaranteed by certain of Xinyuan's subsidiaries and secured by a pledge of the capital stock of certain of Xinyuan's subsidiaries. Xinyuan intends to use the net proceeds of this offering to repay certain existing debts, invest in new real estate projects in China and the United States and the remainder for general corporate purposes.

The Notes were offered outside the United States pursuant to Regulation S under the Securities Act of 1933, as amended (the "Securities Act"). The Notes have not been registered under the Securities Act and may not be offered or sold in the United States absent registration or applicable exemption from the registration requirements.
