Xinyuan Real Estate Co., Ltd. Announces Changes to Board of Directors
Beijing, September 16, 2022 -- Xinyuan Real Estate Co., Ltd. (“Xinyuan” or the “Company”) (NYSE: XIN), an NYSE-listed real estate developer operating primarily
in China and also in other countries, announces that one of its independent directors, Mr. Samuel Shen, is resigning from the board of the Company and his role as member of audit committee, investment committee and compensation committee, effective
immediately. Mr. Shen's decision to resign from the board of the Company was not due to any dispute or disagreement with the Company, or on any matter relating to the Company’s operations, policies or practices.
The Company’s nominating and corporate governance committee is identifying qualified candidates to replace Mr. Shen as independent director of the board, and
member of the audit committee, investment committee and compensation committee. The Company intends to fill the vacancies created by the resignation of Mr. Shen as soon as practicable.
