Departure of Executive Officers

Effective February 27^th, 2009 Mr. Meng Du, Chief Operating Officer of Xinyuan Real Estate Co., Ltd. (the “Company”) and Mr. Xiaobing Wang, Chief Administrative Officer of the Company, have resigned. The Company does not currently contemplate seeking replacements for the two positions. The responsibilities of these departing officers will be assumed by other members of Xinyuan’s senior management team.
